These Terms and Conditions (“Terms”) apply to your registration for and participation at a The Darling Group Holdings (d.b.a. "Yulante Darling" or "The Yulante Darling Brand") event (“Event”). By RSVP’ing, participating in, or attending an Event, you acknowledge that you have read, understand, and agree to the following Event Terms between you and the applicable Yulante Darling Brand entity hosting the Event, including our subsidiaries and affiliates (“Yulante Darling,” “we,” “our,” "me," or “us”).

The Event Registration

You may only register for and attend the Event in accordance with these Terms. To register for the Event, you must complete the applicable Event registration process and pay any registration fee(s). Event registration is subject to availability, and we may change the Event program at any time, as determined solely by us.

Participation

In order to participate in the Event, you must:

• Have the requisite power and authority to enter into these Terms

• Have read and understood these Terms

• Comply with our Event Code of Conduct at all times, and

• Be at least 21 years old, or otherwise over the legal drinking age in your jurisdiction on the first day of the Event, if alcohol is being served at the Event.

Safety and Security

Event representatives reserve the right to ask you to leave the Event if:

• Your behavior causes concern for the safety or security of us, Event attendees, partners, sponsors, speakers, moderators, vendors, organizers, or volunteers

• You engage in behavior that violates these Terms or the Event Code of Conduct, or

• You exhibit harassing or other prohibited behavior and do not comply immediately.

If we or an Event representative denies you entry or requires you to leave the Event, you will not receive a refund if you paid any fees.

Your Information

We handle any information or materials provided or presented by you to us (i.e., your contact information) in accordance with our Privacy Notice. We may provide your contact information to Event sponsors where you have opted in to receive communications from the Event.

Photographs and Recordings

By participating in the Event, you agree that The Darling Group Holdings (d.b.a. "Yulante Darling" or "The Yulante Darling Brand"), Yulante Darling, and our partners may document, film, photograph, and capture your voice and image in any media at an Event (“Photos and Recordings”). We retain and use all of the resulting information for the minimum necessary period to fulfill our legal and contractual obligations, legitimate business purposes, and as recommended by industry standards. You authorize us, our agents, employees, and partners to use, reproduce, modify, distribute, and translate, for any purpose relating to Yulante Darling's business, all or any part of the Photos and Recordings. You represent that you have the necessary rights and permissions to grant the authorization and that your Photos and Recordings do not violate any intellectual property rights of any person or entity. You also agree that if you take any Photos and Recordings at the Event and provide them to us, you authorize us to use them in the same fashion, and represent that any participants and attendees in your Photos and Recordings have also consented to such use.

Feedback

You acknowledge that you may provide ideas, suggestions, recommendations, or improvements (“Feedback”) to The Darling Group Holdings (d.b.a. "Yulante Darling" or "The Yulante Darling Brand") before, during, or after your participation at the Event. You authorize us, our agents, employees, and partners to use any Feedback that you provide without restriction and without obligation to you.

CANCELLATION

 

Your Cancellation

If registration fees or other fees are required for the Event, cancellation instructions and the Event’s refund policy, if applicable, will be listed on the Event registration page or website.

The Darling Group Holdings (d.b.a. "Yulante Darling" or "The Yulante Darling Brand") Cancellation

We may cancel the Event at any time for any reason, and we may deny, limit, or cancel your Event registration at any time. The Darling Group Holdings (d.b.a. "Yulante Darling" or "The Yulante Darling Brand") is not responsible for any damages, direct or indirect, resulting from such cancellation. If we cancel the Event, we will issue you a full refund in accordance with the refund policy, if applicable. If the Event is canceled, the sections entitled “Your Information,” Risk, Liability, and Indemnification,” and “Miscellaneous” will continue to apply.

Risk, Liability, and Indemnification

We aim to create a safe and secure environment at all our Events and ask that you help encourage the safety, trust, and security of everyone at the Event.

Assumption of Risk

You acknowledge that attending and participating in the Event is completely voluntary and that you understand the nature of the Event. You agree that you have carefully considered the risks inherent in any activities that you choose to take part in and that you have taken reasonable precautions before attending or participating in a Yulante Darling Event. To the maximum extent permitted by law, you agree that you knowingly and voluntarily assume the risks associated with attending and participating in the Event.

Release of Liability

To the maximum extent permitted by law, you (and anyone else who might make a claim on your behalf or as a result of your death or injury) hereby release, waive, and discharge Yulante Darling, our affiliates, partners, respective directors, officers, employees, contractors, representatives, volunteers, agents, successors, and assigns, from any and all claims, demands, causes of action, damages, losses, or expenses (“Claims”) that you may have now or in the future associated in any way with the Event, Photos and Recordings, and/or Feedback. 

Indemnity

You agree to indemnify and hold Yulante Darling, our affiliates, partners, respective directors, officers, employees, contractors, representatives, volunteers, agents, successors, and assigns harmless, including costs, liabilities and legal fees, from any Claims made by any third party due to, related to, or connected with your attendance or conduct at the Event or any related event.

Modifications

We may update these Terms at any time by posting a revised version on our website and updating the “Last Updated” date accordingly. The modified Terms become effective upon posting. By attending the Event, you agree to be bound by the most recent Terms. It is your responsibility to check our website regularly for modifications to these Terms.

Compliance

You represent and warrant that you and the financial institution(s) you used to pay any fees required for the Event are not subject to sanctions or otherwise designated on any list of prohibited or restricted parties, or owned by such a party by an applicable government authority.
